Terms of Service
Effective date: September 30, 2026
These Terms of Service ("Terms") are an agreement between Robinson Innovations LLC, a Florida limited liability company doing business as QNAAPI ("QNAAPI," "we," "us," or "our"), and the business or organization that creates an account or uses the Services ("Customer" or "you"). They govern your use of qnaapi.com, the QNAAPI API, dashboards, documentation, and related services (the "Services").
By creating an account, clicking to accept, or using the Services, you agree to these Terms. If you accept on behalf of an organization, you confirm that you have authority to bind it. The Services are for business use. You must be at least 18 to use them, and they are not offered to consumers for personal, family, or household purposes.
1. Related documents
These documents form part of these Terms (together, the "Agreement"):
- the Data Processing Addendum ("DPA"), which governs how we process personal data on your behalf, including the list of Subprocessors;
- any plan, order, or pricing terms you accept when you subscribe, including the limits shown on our pricing page; and
- our API documentation, to the extent it describes how the Services must be used.
Our Privacy Policy explains how we handle personal information as a controller, such as account and billing data. If these Terms conflict with the DPA on the processing of personal data, the DPA controls.
2. Accounts and API keys
2.1 Accurate information. You must provide accurate account information and keep it current, including a working email address for service, billing, and security notices.
2.2 Authorized users. You may let your employees and contractors use the Services on your behalf. You are responsible for their actions and for ensuring they follow these Terms.
2.3 Credentials and API keys. You are responsible for keeping your passwords and API keys secure and for all activity that occurs using them. Do not embed secret API keys in client-side code or share them publicly. Tell us promptly at privacy@qnaapi.com if you believe your account or keys have been compromised, and rotate affected keys.
3. Use of the Services
3.1 Access. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable right during your subscription to access and use the Services to create, deliver, and analyze surveys, polls, forms, and quizzes for your business.
3.2 Plan limits. Your use is subject to the limits of your plan, such as request volumes, responses, or projects. If you exceed them, we may throttle requests, ask you to upgrade, or charge applicable overage fees shown on the pricing page.
3.3 Availability. We work to keep the Services available and reliable, but we do not offer a service level agreement unless we agree to one in writing. We may perform maintenance and will try to give advance notice of planned downtime that is likely to affect you.
4. Acceptable use
You will not, and will not let anyone else:
- use the Services in violation of any law, including privacy, consumer protection, anti-spam, and anti-discrimination laws;
- collect sensitive or restricted data through the Services except as permitted in Section 3.3 of the DPA, including special categories of personal data, health information, government identifiers, or financial account numbers;
- knowingly collect personal information from children under 13, or under 16 where required by law, except in compliance with COPPA and other applicable children's privacy laws;
- use the Services to deceive Respondents, including phishing, impersonation, or disguising the purpose of data collection;
- send spam or unsolicited messages using the Services;
- upload or distribute malware, or content that is unlawful, defamatory, harassing, or infringes others' rights;
- interfere with or disrupt the Services, circumvent rate limits or security controls, or access them other than through our published interfaces;
- probe, scan, or test the Services for vulnerabilities without our prior written permission;
- reverse engineer, decompile, or attempt to derive the source code of the Services, except where the law expressly permits it;
- resell, sublicense, or provide the Services to third parties as a standalone service, except as part of your own products for your own clients; or
- use the Services to build a competing product, or to benchmark them for publication without our consent.
5. Plans, fees, and billing
5.1 Plans. We offer a free plan and paid plans as described on our pricing page. Features and limits may differ by plan.
5.2 Payment. Paid plans are billed in advance on a [monthly or annual] basis through our payment processor, Stripe. You authorize us to charge your payment method for all fees when due.
5.3 Automatic renewal. Paid plans renew automatically at the end of each billing period for the same length of time, at the then-current price, until you cancel. You can cancel at any time [from your account settings], and cancellation takes effect at the end of the current billing period. We will give at least 30 days' notice of any price increase before it applies to your renewal.
5.4 Refunds. Fees are non-refundable except where required by law or where these Terms or the DPA expressly provide for a refund, such as a prorated refund under Section 7.4 of the DPA.
5.5 Taxes and late payment. Fees exclude taxes. You are responsible for all applicable sales, use, and similar taxes, other than taxes on our income. If a payment fails and is not resolved within 14 days after we notify you, we may downgrade or suspend your account.
5.6 Free plans. Free plans are provided as-is, may have lower limits, and may be changed or discontinued. We may close free accounts that have been inactive for [12] months after giving at least 30 days' notice by email.
6. Customer Data
6.1 Ownership. "Customer Data" means content and data you or your Respondents submit to the Services, including surveys, questions, responses, and data derived from them within your account. As between you and us, you own Customer Data.
6.2 License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, and support the Services, and as described in the DPA. We do not use Customer Data for our own advertising, sell it, or combine it with data from other customers.
6.3 Personal data. Where Customer Data includes personal data, you are the controller and we are your processor, as set out in the DPA.
6.4 Aggregated data. We may create aggregated or deidentified data from operating the Services, such as usage volumes and performance metrics, and use it to maintain and improve the Services, as described in Section 2.4 of the DPA. It will not identify you, any Respondent, or any individual.
6.5 Export and deletion. You can export or delete Customer Data at any time using the Services. After termination, Customer Data is handled as described in Section 12.
6.6 Backups. We maintain backups as described in the DPA, but you are responsible for keeping your own copies of Customer Data you need.
7. Your obligations to Respondents
"Respondents" are the people who view or answer surveys, polls, forms, or quizzes you deliver using the Services. You are responsible for your relationship with them, including:
- giving them a privacy notice that explains what you collect, why, and who processes it;
- obtaining any consent required by law, including for cookies or similar technologies on your properties;
- responding to their requests to access, correct, or delete their data, with our help as described in the DPA; and
- making sure any incentives, contests, or sweepstakes you run through the Services comply with applicable law.
8. Intellectual property
8.1 Our property. We and our licensors own the Services, including software, APIs, documentation, designs, and trademarks, and all related intellectual property rights. These Terms do not transfer any of those rights to you, except the limited right to use the Services in Section 3.1.
8.2 Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
8.3 Customer name. We may identify you as a customer by name and logo on our website and in marketing materials. You may ask us to stop at any time by emailing legal@qnaapi.com.
9. Third-party services
The Services may let you connect to or use third-party products, such as analytics tools or integrations you choose. Your use of those products is governed by their own terms, and we are not responsible for them. If you direct us to send Customer Data to a third-party product, you authorize that transfer.
10. Confidentiality
Each party may receive non-public information from the other that is marked confidential or should reasonably be understood to be confidential ("Confidential Information"). Customer Data is your Confidential Information. The receiving party will use Confidential Information only to perform under the Agreement, protect it with at least reasonable care, and disclose it only to people who need to know it and are bound by similar obligations. This does not apply to information that is public through no fault of the receiving party, was already known to it, is independently developed, or is lawfully received from a third party. A party may disclose Confidential Information if required by law, after giving the other party reasonable notice where legally permitted.
11. Suspension
We may suspend all or part of your access to the Services if we reasonably believe that your use violates Section 4, poses a security risk to the Services or others, could expose us to legal liability, or that fees are overdue under Section 5.5. We will try to give you notice first and limit the suspension to what is reasonably needed, and we will restore access once the issue is resolved.
12. Term and termination
12.1 Term. These Terms apply from when you first accept them until your account is closed.
12.2 Termination by you. You may stop using the Services and close your account at any time. Paid subscriptions end at the close of the current billing period under Section 5.3.
12.3 Termination by us. We may terminate these Terms if you materially breach them and do not cure the breach within 30 days after notice, or immediately if the breach cannot be cured or involves a serious violation of Section 4. We may also end the Services for all customers with at least 60 days' notice, in which case we will refund any prepaid fees for the unused period.
12.4 Effect. When these Terms end, your right to use the Services ends. You may export Customer Data for 30 days afterward, and we will then delete it as described in Section 12 of the DPA. Sections 5 (for fees owed), 6.4, 8, 10, and 12 through 18 survive termination.
13. Warranties and disclaimers
13.1 Mutual. Each party confirms it has the authority to enter into these Terms.
13.2 Ours. We will provide the Services in a professional manner consistent with generally accepted industry standards and will not materially reduce the security of the Services during your paid subscription.
13.3 Yours. You confirm that you have the rights, notices, and consents needed for us to process Customer Data under the Agreement.
13.4 Disclaimer. Except as expressly stated in these Terms, the Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Services will be uninterrupted or error-free. Free plans and beta features are provided without any warranty.
14. Limitation of liability
14.1 Excluded damages. Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or goodwill, even if advised of their possibility.
14.2 Cap. Each party's total liability arising out of or related to the Agreement will not exceed the greater of the fees you paid us for the Services in the 12 months before the event giving rise to the claim, or one hundred U.S. dollars ($100).
14.3 Exceptions. These limits do not apply to your payment obligations, your breach of Section 4, either party's indemnification obligations, or liability that cannot be limited by law.
15. Indemnification
15.1 By you. You will defend and indemnify QNAAPI against third-party claims, and related losses, damages, and reasonable costs, arising from Customer Data, your collection of data from Respondents, or your use of the Services in violation of the Agreement or the law.
15.2 By us. We will defend and indemnify you against third-party claims that the Services, as provided by us and used in accordance with the Agreement, infringe a U.S. patent, copyright, or trademark, or misappropriate a trade secret. This does not apply to claims arising from Customer Data, third-party products, or combinations with anything we did not provide. If the Services become subject to such a claim, we may modify them, obtain a license, or terminate the affected Services and refund prepaid fees for the unused period.
15.3 Process. The party seeking indemnity must notify the other promptly, give it control of the defense and settlement, and cooperate reasonably. The indemnifying party may not settle a claim in a way that imposes obligations on the other party without its consent.
16. Beta features
We may offer features labeled beta, preview, or similar. They are optional, may change or be discontinued at any time, and are provided without warranties or support commitments.
17. Changes to the Services and Terms
17.1 Services. We may update the Services over time. We will not make changes during a paid subscription that materially reduce its core functionality, except where needed for security or legal reasons.
17.2 Terms. We may update these Terms by posting a new version at qnaapi.com/terms. For material changes, we will give at least 30 days' notice by email or in the Services before they take effect. Continued use of the Services after the effective date means you accept the updated Terms. If you do not agree, you may cancel before then. Changes to the DPA follow Section 13.4 of the DPA.
17.3 API changes. We will give reasonable advance notice, normally at least 90 days, before removing or making backward-incompatible changes to a generally available API version, unless a shorter period is needed for security or legal reasons.
18. General terms
18.1 Governing law and venue. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The state and federal courts located in [Broward County], Florida have exclusive jurisdiction over any dispute arising from them, and each party consents to that jurisdiction.
18.2 Notices. We will send notices to the email address on your account. You may send notices to legal@qnaapi.com or to our mailing address below.
18.3 Assignment. Neither party may assign these Terms without the other's consent, except that either party may assign them in connection with a merger, acquisition, or sale of substantially all of its assets or the relevant business, with notice to the other party.
18.4 Export and sanctions. You will comply with U.S. export control and sanctions laws and will not use the Services in, or on behalf of anyone located in, a sanctioned country or on a U.S. restricted-party list.
18.5 Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than payment obligations.
18.6 Independent parties. The parties are independent contractors. These Terms do not create a partnership, joint venture, or agency relationship, and there are no third-party beneficiaries.
18.7 Entire agreement. The Agreement is the entire agreement between the parties about the Services and supersedes any prior agreements on the same subject. Terms in your purchase orders or other documents do not apply. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
